Aerojet Rocketdyne Associate General Counsel, Defense in Huntsville, Alabama
The Associate General Counsel, Defense is a leadership position within the Aerojet Rocketdyne’s ($1 billion plus) defense business and will report directly to the Vice President, General Counsel and Secretary with a “dotted-line” to the Senior Vice President of Aerojet Rocketdyne’s defense business. This individual will support Aerojet Rocketdyne's defense business with respect to its various legal issues. The Associate GC must have strong leadership and communication skills and be able to deal independently with the company’s senior management and with third parties.
This individual must have a strong background in federal procurement law (including knowledge of the FAR and DFARS), and be able to lead, manage and provide advice with respect to complex issues and matters in relation to U.S. Government prime contracts and related subcontracts. Additionally, the Associate GC must be able to lead, advise and manage various general matters. These include litigation and claims management, contractor disputes, commercial disputes, compliance issues. This individual must also be able to assist on mergers & acquisitions and other transactions, as well as on employment/personnel matters. A successful candidate must work cooperatively with rest of the AR legal department and staff, as well as independently with client representatives.
Essential Job Functions (Including % of Time for Each)
45% - Provide advice and counsel to Senior management of AR’s defense business and, when required, to suppliers, team members, and customers as it relates to U.S. government contract law. Principal areas of responsibility will include: (1) policy and regulatory interpretation; (2) contract review and negotiation; (3) evaluation of joint venture, partnerships, and teaming agreements; (4) the analysis of claims; and (5) the resolution of contract disputes.
20% - As required, collaborate and/or manage outside legal counsel on various legal matters; assist in the negotiation and administration of intellectual property rights and/or patents granted to other companies.
15% - Will assist with compliance and training matters on U.S. government contracts and specific regulatory procedures.
15% - Will assist and, if required, lead the management of contract litigation.
5% - May require modest travel to multiple Aerojet Rocketdyne sites around the U.S.
Requires a Bachelor’s degree and a Law degree, with an emphasis in federal procurement law and commercial contracts, and a minimum of nine years of experience as an attorney with previous experience in U.S. government contracts. Specific experience in the areas of procurement litigation (bid protests, equitable adjustments, cost and pricing, and breach of contract) is required. Experience in other areas of commercial contracts and transactions, labor/employment law, and/or real estate law is desirable, although not required.
Must have strong leadership, communications, analytical, negotiations, and problem solving skills.
US Citizenship Only Required. Dual Citizenship does not meet job qualifications. Must be able to obtain and maintain a U.S. Security Clearance at the appropriate level (requires U.S. Citizenship).
Consideration will be given to candidates with contacts or ties with the Company’s customers (e.g. Air Force, US Army, Missile Defense Agency, Raytheon, Lockheed Martin, etc.) and/or ties to the Huntsville Aerospace and Defense community.

May require the ability to travel by air or auto. May require the use of personal protective equipment such as safety glasses, safety shoes, and shop coat. These positions may be expected to work varying shifts and hours to ensure successful operation of activities in the organization.
